Drafting of dispute resolution clauses

These clauses will enable you to define and frame the process that will apply to the parties in the event of a dispute or litigation. If the other party to your contract fails to comply with this clause, it is possible to force compliance under certain conditions.

In a dispute resolution clause, you can include one or more of the following:

  • Cooling-off period

  • Negotiation period

  • Mediation (with or without evaluation/proposal by the mediator)

  • Arbitration (classic or special procedure, such as final offer/baseball arbitration).

The vast majority of commercial contracts opt for a period of negotiation, followed by mediation and, finally, arbitration to settle the dispute.
